Los presentes términos y condiciones constituyen un contrato de adhesión entre la sociedad mercantil “CORPORACIÓN A TIEMPO, C.A.”, sociedad mercantil domiciliada en la ciudad de Caracas e inscrita en el Registro Mercantil Quinto del Distrito Capital en fecha 16 de febrero de 2017 bajo el N° 3, Tomo 50-A, Expediente 224-4439 (en adelante “ATIEMPO”), por una parte; y por la otra, el “Usuario Afiliado” al Servicio A-MEMBER. Por lo tanto, el “Usuario Afiliado” debe leer detenidamente todo el contenido del presente documento, y confirmar que ha leído, entendido y aceptado de manera inequívoca y sin reservas su contenido y alcance, haciendo “Click” en el campo “Aceptar”. A.- OBJETO Y ALCANCES DEL SERVICIO A-MEMBER.- ATIEMPO pone a disposición y uso del “Usuario Afiliado” la Página Web www.corporacionatiempo.com, el Software Atiempo-Extranet y a la Aplicación para dispositivos móviles “A-MEMBER” (en su conjunto “Plataforma Tecnológica ATIEMPO-EXTRANET”), a cambio del pago de una suscripción anual, de conformidad con lo previsto en el presente documento. El “Servicio A-MEMBER” ha sido diseñado como una plataforma tecnológica que conecta a los “Usuarios Afiliados” con una planta de profesionales de la salud afiliados a este servicio, que pueden atender y proporcionar información y orientaciones de salud relacionadas con sus necesidades a través del Internet. El “Usuario Afiliado” a través de la “Plataforma Tecnológica ATIEMPO-EXTRANET” tendrá acceso a espacio suficiente para almacenar y acceder con rapidez a todos sus datos e información de salud, así como a consultas en línea, no presenciales e ilimitadas con “Profesionales de la Salud” que atenderán sus necesidades, vía llamada telefónica al 0501-Atiempo, correos electrónicos, chat en línea o video-llamadas, durante las veinticuatro (24) horas del día, los siete (7) días de la semana y los trescientos sesenta y cinco (365) días del año. Los correos electrónicos serán respondidos en un máximo de cuartenta y ocho (48) horas. El “Usuario Afiliado”, podrá realizar consultas en línea, no presenciales, con “Profesionales de la Salud” especialistas en diversas áreas disponibles, mediante las cuales podrá resolver inquietudes, dudas o recibir consejos y orientaciones relacionados con cada una de las especialidades correspondientes. El “Usuario Afiliado” que desee realizar una consulta en línea podrá acceder al “Servicio A-MEMBER”, y de forma inmediata será atendido por personal de atención al cliente de “ATIEMPO” y, a través de las modalidades ofrecidas por la plataforma, será referido a un “Profesional de la Salud”. El “Profesional de la Salud” atenderá al “Usuario Afiliado” y en caso de considerarlo necesario, referirá el caso con un “Profesional de la Salud” especialista. Una vez referido el caso a un “Profesional de la Salud” especialista, el “Usuario Afiliado“ recibirá una notificación de la “Plataforma Tecnológica ATIEMPO-EXTRANET” dentro de las cuarenta y ocho (48) horas siguientes, señalando el día y hora de su cita con el “Profesionales de la Salud” especialista. En caso de que el “Usuario Afiliado“ no se conecte a la plataforma el día y a la hora programados para la cita, y la pierda, podrá solicitar una nueva cita. En caso de que el “Usuario Afiliado” pierda la cita por segunda vez, no podrá volver a solicitarla sino hasta que hayan transcurrido 30 días continuos siguientes. Todas las consultas en línea tendrán en promedio quince (15) minutos de duración, pudiendo realizar tantas consultas en línea como sean necesarias para la atención de su problema, siempre y cuando se respeten los términos y condiciones de uso establecidos en el presente documento. Cuando el “profesional de la salud” emita sus recomendaciones de salud correspondientes, “La Plataforma tecnológica ATIEMPO-EXTRANET” garantizará que cumplan con los requisitos necesarios para adaptarse a la legislación del país en que se encuentre el “Usuario Afiliado”. “La Plataforma tecnológica ATIEMPO-EXTRANET” proporciona recordatorios, dependiendo de las necesidades del “Usuario Afiliado”, tales como: horarios para la toma de medicamentos, toma de tensión, medición de glucosa, aporte de consejos nutricionales, y recomendaciones de especialistas basados en su historial de salud. “El Servicio A-MEMBER”, no ha sido diseñado para sustituir la ciencia y el arte del diagnóstico y tratamiento de salud presencial, se trata sólo de una plataforma tecnológica a través de la cual el “Usuario Afiliado” podrá obtener información básica y preliminar directamente de “Profesionales de la Salud” que pueden orientarlo en la materia objeto de consulta en línea. La información obtenida por esta vía no debe ser considerada como completa, ni debe ser considerada como prescripción o diagnóstico para iniciar un tratamiento de salud determinado, ya que este servicio no sustituye a una consulta presencial que pueda determinar con mayor certeza una determinada condición de salud. B.- OBLIGACIÓN DEL “USUARIO AFILIADO” DE CARGAR SU INFORMACIÓN E HISTORIAL DE SALUD EN LA “PLATAFORMA TECNOLÓGICA A TIEMPO EXTRANET”.- El “Usuario Afiliado” estará obligado a cargar su información e historial de salud en los campos correspondientes exigidos por la “Plataforma Tecnológica ATIEMPO-EXTRANET”, inmediatamente después de haber activado su membresía. Para ello deberá incorporar toda la información que le sea requerida y hará sus mejores esfuerzos para que la información sea cargada de manera exacta e inequívoca, siendo responsable de la información que no haya sido cargada, o cuando se trate de información falsa, engañosa, incompleta o desactualizada. El “Usuario Afiliado” estará obligado a cargar en la “Plataforma Tecnológica ATIEMPO-EXTRANET” cualquier información médica adicional requerida por los profesionales de la salud afiliados al servicio. El “Usuario Afiliado” estará obligado a actualizar toda su información e historial de salud en los campos correspondientes exigidos por la “Plataforma Tecnológica ATIEMPO-EXTRANET”, de manera periódica, durante la vigencia del presente contrato. El “Usuario Afiliado” autoriza a los profesionales de la salud cargar en su fichero personal de la “Plataforma Tecnológica ATIEMPO-EXTRANET”, información referente a los resultados de las consultas en línea realizadas por este medio, a fin de mantenerlo actualizado. Los datos del “Usuario Afiliado” serán almacenados en servidores o medios magnéticos que mantienen altos estándares de seguridad y protección, tanto física como tecnológica, y serán tratados bajo estándares de protección y privacidad adecuados al Reglamento (UE) 2016/679 del Parlamento Europeo y del Consejo, de fecha 27 de abril de 2016, relativo a la protección de las personas físicas en lo que respecta al tratamiento de sus datos personales y a la libre circulación de estos datos, garantizando plenamente por esta vía el derecho a la privacidad del “Usuario Afiliado”, aplicándose las medidas de seguridad necesarias para evitar su alteración, pérdida, tratamiento o acceso no autorizado, observándose para ello las “Políticas de Privacidad ATIEMPO”, disponibles en www.corporacionatiempo.com/legal/privacidad. C.- DURACIÓN, SUSPENSIÓN Y TERMINACIÓN DEL SERVICIO A-MEMBER.- El “Servicio A-MEMBER” tendrá una duración de un (01) año para el “Usuario Afiliado” contados a partir de la fecha de suscripción y activación del servicio. El “Usuario Afiliado” podrá mantener activa la suscripción al servicio por períodos iguales y consecutivos de un (01) año, de manera ilimitada en el tiempo siempre y cuando adquiera un nuevo código de suscripción y lo active a través de la “Plataforma Tecnológica ATIEMPO-EXTRANET”. El “Servicio A-MEMBER” terminará cuando finalice el período natural correspondiente de duración anual, sin que el “Usuario Afiliado” haya reactivado el servicio para un nuevo período, o bien, en cualquier momento por decisión unilateral de cualquiera de las partes, mediante los mecanismos que se establecen seguidamente. El “Usuario Afiliado” podrá terminar el servicio y cancelar su cuenta en cualquier momento a través de una solicitud de terminación del servicio realizada a través de la “Plataforma Tecnológica ATIEMPO-EXTRANET”, la cual se procesará automáticamente. No se considerarán como solicitudes de terminación del servicio aquellas realizadas mediante mecanismos diferentes a la “Plataforma Tecnológica ATIEMPO-EXTRANET”. Una vez que el “Usuario Afiliado” haya enviado la solicitud de terminación del servicio y cancelación de su cuenta por el medio indicado, el servicio será suspendido y la cuenta será bloqueada de forma inmediata, y el proceso de terminación será irreversible. ATIEMPO podrá en cualquier momento y unilateralmente suspender el servicio y/o terminar el contrato del “Usuario Afiliado”, así como impedir cualquier uso o acceso futuro a la “Plataforma Tecnológica ATIEMPO-EXTRANET”. En este caso, la suspensión y/o terminación unilateral del servicio por parte de ATIEMPO será notificada al “Usuario Afiliado” mediante un mensaje escrito a tal efecto que será enviado a través de la “Plataforma Tecnológica ATIEMPO-EXTRANET”. La terminación unilateral del “Servicio A-MEMBER” por parte del “Usuario Afiliado” no generará obligación de reembolso alguno por parte de ATIEMPO al “Usuario Afiliado” con respecto al precio pagado por la suscripción al servicio. La terminación unilateral del “Servicio A-MEMBER” por parte de ATIEMPO, generará la obligación de reembolsar al “Usuario Afiliado” el monto prorrateado equivalente al tiempo que no pudo utilizar del servicio, excluido el tiempo transcurrido desde la fecha de inicio y/o activación de la suscripción al servicio, hasta la fecha de notificación de la terminación unilateral por parte de ATIEMPO. El “Usuario Afiliado” no tendrá derecho a reclamar daños y perjuicios, lucro cesante, daño emergente, ni ningún otro concepto con motivo de la terminación unilateral del contrato. Terminado el servicio por cualquiera de las causas señaladas, el “Usuario Afiliado” recibirá un correo electrónico, contentivo de un “link”, que le permitirá bajar de la “Plataforma Tecnológica ATIEMPO-EXTRANET” copia de toda su información de salud y archivos correspondientes, para ello dispondrá de diez (10) días hábiles contados a partir de la recepción del correo electrónico. Finalizado dicho lapso no será posible acceder nuevamente al sistema. Todo el contenido asociado a la cuenta cancelada será guardado en la “Plataforma Tecnológica ATIEMPO-EXTRANET” por un lapso de cinco (05) años. ATIEMPO también podrá suspender temporal y unilateralmente el “Servicio A-MEMBER” a cualquier “Usuario Afiliado”, si en su criterio, éste quebrantara alguna ley, o incumpliera cualquiera de las estipulaciones establecidas en el presente documento y demás Términos y Condiciones aplicables al “Usuario Afiliado” y demás políticas del Sitio, o incurriera en conductas o actos dolosos o fraudulentos, o hubiera proporcionado información falsa o errónea. D.- SUSCRIPCIONES.- La contraprestación económica que pagará el “Usuario Afilado” a “ATIEMPO” a cambio del acceso al “Servicio A-MEMBER”, consistirá en una suscripción anual que podrá ser activada por períodos iguales, sucesivos e ilimitados en el tiempo. El precio de la suscripción anual al “Servicio A-MEMBER”, será publicado en la Página Web www.corporacionatiempo.com. El “Usuario Afiliado” realizará un pago único por membresía anual, y a partir de la activación del “Servicio A-MEMBER”, tendrá acceso ilimitado a la plataforma, desde cualquier parte del mundo. No se realizará cobros extras por consultas en línea, ni desembolsos adicionales. El pago se realizará de forma segura por cuanto los datos serán transmitidos a través de un sistema de encriptación que proporcionará la debida protección y confidencialidad de sus datos y mecanismos de pago. “ATIEMPO” se reserva el derecho a revisar y modificar los precios del “Servicio A-MEMBER” en cualquier momento. No obstante, las modificaciones que “ATIEMPO” realice sobre el precio del servicio no tendrán efecto retroactivo, y no afectarán el(los) servicio(s) que haya(n) sido activado(s) por el “Usuario Afiliado” con anterioridad a la fecha de publicación de cada modificación. Las modificaciones de precios del servicio sólo tendrán efecto hacia el futuro con respecto a aquellos servicios que sean contratados y activados con posterioridad a la publicación de cada modificación. E.- INDEPENDENCIA DE CRITERIO DEL “PROFESIONAL DE LA SALUD”.- “ATIEMPO” y/o “Servicio A-MEMBER” no proveen servicio de salud alguno. Todos los “Profesionales de la Salud Afiliados” al “Servicio A-MEMBER”, son profesionales independientes que ofrecen sus servicios en el libre ejercicio de su profesión y utilizan a la “Plataforma Tecnológica ATIEMPO-EXTRANET” como un medio para comunicarse con el “Usuario Afiliado”. Por lo tanto, el “Servicio A-MEMBER” consiste única y exclusivamente en poner a disposición del “Usuario Afiliado” la “Plataforma Tecnológica ATIEMPO-EXTRANET” para facilitar la conexión entre el “Usuario Afiliado” y los “Profesionales de la Salud Afiliados” al servicio. Cualquier información de salud, recomendación o indicación de un “Profesional de la Salud Afiliado” al “Servicio A-MEMBER”, a través de “Plataforma Tecnológica ATIEMPO-EXTRANET”, proviene exclusivamente del criterio profesional del “Profesional de la Salud Adiliado” correspondiente, y en ningún caso de “ATIEMPO”, quien no será responsable de cualquier daño o perjuicio relacionado con, o derivado de, orientaciones o indicaciones de salud obtenidas de los “Profesionales de la Salud Afiliados” que prestan sus servicios mediante la “Plataforma Tecnológica ATIEMPO-EXTRANET”. El “Usuario Afiliado” entiende y acepta de manera irrevocable que en el supuesto negado de que ocurra un evento de mala praxis médica, “ATIEMPO” se encuentra exenta de cualquier responsabilidad, pues entiende que el “Servicio A-MEMBER” es sólo una plataforma tecnológica que facilita la comunicación entre el “Usuario Afiliado” y el “Profesional de la Salud Afiliado”. “ATIEMPO” no asume responsabilidad alguna sobre las opiniones y consejos de salud que los “Profesionales de la Salud Afiliados” provean a los “Usuarios Afiliados”, así como tampoco asume responsabilidad alguna con respecto al uso que el “Usuario Afiliado” haga de esos consejos u orientaciones dadas por el “Profesional de la Salud Afiliado.” F.- DE LA PRIVACIDAD Y MANEJO DE LA INFORMACIÓN DEL “USUARIO AFILIADO”.-Toda información que relacione la identidad del “Usuario Afiliado” con sus condiciones físicas y mentales presentes, pasadas o futuras y su historia de salud, es considerada información confidencial de carácter privado y de alta sensibilidad, por lo tanto, será tratada como tal por “ATIEMPO” bajo estándares de protección y privacidad adecuados al Reglamento (UE) 2016/679 del Parlamento Europeo y del Consejo, de fecha 27 de abril de 2016, relativo a la protección de las personas físicas en lo que respecta al tratamiento de sus datos personales y a la libre circulación de estos datos, garantizando plenamente por esta vía el derecho a la privacidad del “Usuario Afiliado”, aplicándose las medidas de seguridad necesarias para evitar su alteración, pérdida, tratamiento o acceso no autorizado, observándose para ello las “Políticas de Privacidad ATIEMPO”, disponibles en www.corporacionatiempo.com/legal/privacidad. “ATIEMPO” garantiza la confidencialidad de toda la información que sea divulgada entre el profesional de la salud y el “Usuario Afiliado” con motivo del “Servicio A-MEMBER”. El “Usuario Afiliado”, a través de la “Plataforma Tecnológica ATIEMPO-EXTRANET” registrará y almacenará su información personal, y “ATIEMPO” se obliga a utilizarla única y exclusivamente para fines de la adecuada prestación del “Servicio A-MEMBER”, y se obliga también a no cederla, no transferirla, no venderla, no licenciarla o divulgarla a terceros, excepto: (i) si el “Usuario Afiliado” autoriza expresamente y por escrito hacerlo; (ii) si es necesario para permitir a nuestros proveedores de servicios de salud, entidades asociadas o agentes, proveerle un mejor servicio al “Usuario Afiliado” en nuestro nombre; (iii) solo con el fin de proveerle al “Usuario Afiliado” nuestros productos o servicios o aquellos de nuestras entidades asociadas; (iv) sólo para suministrarla a entidades que realicen servicios de mercadeo y promoción para nosotros o en nuestro nombre, o a entidades con las cuales tengamos alianzas de mercadeo, (v) cuando sea necesario con motivo de la venta de la totalidad o una mayoría sustancial de los activos de “ATIEMPO”, o su fusión o reorganización con otra entidad, (vi) cuando sea requerido o permitido por la Ley. A estos efectos, se considera como información personal, los nombres y apellidos, la edad, el correo electrónico y los teléfonos de contacto del Afiliado o Usuario y sus dependientes. “ATIEMPO” se reserva el derecho de utilizar data anónima proveniente de informaciones generadas y almacenadas durante el proceso de interacción entre el “Usuario Afiliado”, sus dependientes y los “Profesionales de la Salud Afiliados”, con el fin de proveer información estadística a terceros. G.- PROPIEDAD INTELECTUAL E INTANGIBILIDAD DEL CONTENIDO DE LA “PLATAFORMA TECNOLÓGICA ATIEMPO-EXTRANET.- Toda información, texto, gráfico, interface de uso, interface visual, fotografías, marcas, logos, sonidos, música, obra literaria y códigos de ordenador, diseño, estructura, selección y disposición de espacios, apariencia visual o look & feel, así como cualquier arreglo o disposición de los elementos que componen la “Plataforma Tecnológica ATIEMPO-EXTRANET”, es propiedad de “ATIEMPO”, y se encuentra debidamente protegido por las leyes de propiedad intelectual, competencia desleal, y tratados internacionales aplicables. Por lo tanto, la “Plataforma Tecnológica ATIEMPO-EXTRANET” no podrá ser usada, copiada, reproducida, publicada, cargada o descargada, comunicada públicamente, decodificada, traducida, transmitida o distribuida de manera alguna a terceros, otros equipos, servidores o páginas web, por cualquier medio sin la expresa autorización de “ATIEMPO”. El “Usuario Afiliado” se compromete a no copiar, adaptar, reproducir, distribuir, aplicar ingeniería inversa, decompilar, o disimular cualquier faceta de la “Plataforma Tecnológica ATIEMPO-EXTRANET”. El “Usuario Afiliado” acepta y se obliga a no utilizar robots, "spiders", otros aparatos automatizados, o procesos manuales para controlar o copiar cualquier contenido de la “Plataforma Tecnológica ATIEMPO-EXTRANET”. Cualquier intromisión, tentativa o actividad violatoria o contraria a las leyes sobre derecho de propiedad intelectual y/o a las prohibiciones estipuladas en este contrato harán objeto a su responsable de las acciones legales pertinentes, y a las sanciones previstas por este acuerdo, así como lo hará responsable de indemnizar los daños ocasionados. “ATIEMPO” no reclamará derechos sobre la Propiedad Intelectual del contenido que se suba, almacene o se proporcione a la “Plataforma Tecnológica ATIEMPO-EXTRANET”. Queda claro que el servicio prestado por la “Plataforma Tecnológica ATIEMPO-EXTRANET”, así como los programas, bases de datos, redes, archivos que le permiten al “Usuario Afiliado” acceder y usar el “Servicio A-MEMBER”, son propiedad de “ATIEMPO” y están protegidos por las leyes y tratados internacionales en materia de Propiedad Intelectual. El uso indebido y la reproducción total o parcial de dichos contenidos quedan prohibidos, salvo autorización expresa y por escrito de “ATIEMPO”. H.- CONTRATO DE LICENCIA DE USUARIO FINAL PARA EL “SOFTWARE ATIEMPO-EXTRANET” Y PARA LA APLICACIÓN “A-MEMBER App”.- “ATIEMPO” es propietaria del “Software Atiempo-Extranet” y de la aplicación para dispositivos móviles “A-MEMBERApp” (en adelante “Software ATIEMPO”), las cuales serán licenciadas y no vendidas en este acto al “Usuario Afiliado”. “ATIEMPO” otorga en este acto al “Usuario Afiliado” una licencia no exclusiva, personal y no transferible para acceder y usar el “Software ATIEMPO” exclusivamente dentro del contexto del “Servicio A-MEMBER”. La presente licencia se otorga a título oneroso y su precio se encuentra incluido dentro del monto pagado por el “Usuario Afiliado” por la suscripción al “Servicio A-MEMBER”. Esta licencia entrará en vigencia y tendrá una duración igual a la del presente contrato de adhesión. El “Usuario Afiliado” no podrá alquilar, arrendar, prestar, vender, redistribuir ni sublicenciar el “Software ATIEMPO”. El “Usuario Afliado” podrá acceder y/o descargar el “Software ATIEMPO” desde cualquier dispositivo que el “Usuario Afiliado” use o controle. “ATIEMPO” conserva la propiedad del “Software ATIEMPO” y se reserva todos los derechos no concedidos expresamente al “Usuario Afiliado” en este acto. “ATIEMPO” puede, a su entera discreción, poner a disposición del “Usuario Afiliado” nuevas versiones o actualizaciones del “Software ATIEMPO”, a las cuales será extensible esta misma licencia. El “Usuario Afiliado” acepta que “ATIEMPO” pueda captar y utilizar información y data técnica de sus dispositivos con el objeto de facilitar las actividades de mantenimiento, actualización y mejoras del “Software ATIEMPO”, soporte y servicios. El “Usuario Afiliado” reconoce y acepta que el uso del “Software ATIEMPO” será bajo su propio riesgo, y sin garantías de ningún tipo. I.- OBLIGACIONES DE NO HACER DEL “USUARIO AFILIADO”.- El “Usuario Afiliado” no podrá: (1) Utilizar aparatos o dispositivos, programas, algoritmos o metodologías, o cualquier otro proceso para acceder, adquirir, copiar o monitorear, reproducir o modificar la estructura de navegación o presentación de la “Plataforma Tecnológica ATIEMPO-EXTRANET”, con el objeto de obtener o intentar obtener información a través de medios que no han sido puestos a disposición o autorizados por “ATIEMPO”; (2) Acceder o intentar acceder la “Plataforma Tecnológica ATIEMPO-EXTRANET”, a través de medios ilegales o no autorizados por “ATIEMPO”, tales como el “hacking”, password “minning”, etc; (3) Probar la vulnerabilidad de la “Plataforma Tecnológica ATIEMPO-EXTRANET” o de ningún equipo o servidor conectado al “Servicio A-MEMBER”; (4) Usar ni monitorear información de la “Plataforma Tecnológica ATIEMPO-EXTRANET” o de ningún otro “Usuario Afiliado” al “Servicio A-MEMBER”, cuenta o cliente de “ATIEMPO”, que no sea su propia información; (5) Interferir o intentar interferir con el normal funcionamiento de la “Plataforma Tecnológica ATIEMPO-EXTRANET” y no podrá utilizar aparatos o dispositivos, programas, algoritmos o metodologías, rutinas o cualquier otro proceso para estos mismos fines; (6) Manipular o falsear su identidad para engañar a la “Plataforma Tecnológica ATIEMPO-EXTRANET” o “ATIEMPO” con respecto al verdadero origen de los mensajes o comunicaciones que sean enviados a través de la misma, o para contratar los servicios que son ofrecidos a través del “Servicio A-MEMBER”. El “Usuario Afiliado” no puede pretender o representar ser una persona distinta a su verdadera identidad; (7) Usar el “Servicio A-MEMBER” con fines comerciales o en favor de terceros ni utilizarlo de forma impertinente o sin auténticas razones que ameriten la consulta médica en línea correspondiente. (8) Alterar o evitar ninguna tecnología de seguridad incluida en la “Plataforma Tecnológica A-MEMBER” para el “Servicio A-MEMBER”. (9) Utilizar la “Plataforma Tecnológica ATIEMPO-EXTRANET” para cualquier propósito ilegal, no autorizado o prohibido por estos términos y condiciones, que pueda afectar los derechos e intereses de “ATIEMPO”, sus clientes o terceros. J.- FALLAS DEL SISTEMA.- “ATIEMPO” no se responsabiliza por cualquier daño, perjuicio o pérdida que se cause al “Usuario Afiliado” por fallas en el (los) sistema (s) de la “Plataforma Tecnológica ATIEMPO-EXTRANET”. “ATIEMPO” tampoco será responsable por cualquier virus que pudiera infectar el equipo del “Usuario Afiliado” como consecuencia del acceso, uso o examen de la “Plataforma Tecnológica ATIEMPO-EXTRANET”. Los “Usuarios Afiliados” NO podrán imputarle a “ATIEMPO” responsabilidad alguna ni exigir pago de indemnización alguna, en virtud de perjuicios resultantes de dificultades técnicas o fallas de la “Plataforma Tecnológica ATIEMPO-EXTRANET”. “ATIEMPO” no garantiza el acceso y uso continuado o ininterrumpido de la “Plataforma Tecnológica ATIEMPO-EXTRANET”. El sistema puede eventualmente no estar disponible debido a dificultades técnicas o fallas de Internet, o por cualquier otra circunstancia ajena a “ATIEMPO”; en tales casos “ATIEMPO” procurará restablecerlo con la mayor celeridad posible sin que por ello pueda imputársele algún tipo de responsabilidad. K.- MODIFICACIÓN DEL PRESENTE CONTRATO DE ADHESIÓN.- Los términos y condiciones establecidos en el presente contrato de adhesión pueden ser cambiados, modificados, ampliados o reducidos en cualquier momento y de manera unilateral por parte de “ATIEMPO”. Es responsabilidad del “Usuario Afiliado” conocer estos términos y condiciones, y revisar sus sucesivas modificaciones. La “Plataforma Tecnológica ATIEMPO-EXTRANET” notificará al “Usuario Afiliado” sobre la existencia de nuevos términos y condiciones aplicables al “Servicio A-MEMBER”, y el “Usuario Afiliado” deberá manifestar su voluntad de aceptación haciendo “Click” en el campo de “aceptación” correspondiente habilitado por la “Plataforma Tecnológica ATIEMPO-EXTRANET” para poder mantener activo y continuar utilizando el “Servicio A-MEMBER”. L.- POLÍTICA DE PRIVACIDAD.- Las Políticas de Privacidad de “ATIEMPO”, forman parte integrante de estos términos y condiciones de uso del “Servicio A-MEMBER”. Adicionalmente, el “Usuario Afiliado” reconoce que las comunicaciones a través del Internet no son 100% seguras, aun cuando hayan sido encriptadas, y que eventualmente, cualquier información o mensaje enviado a través de la “Plataforma Tecnológica ATIEMPO-EXTRANET” podría ser interceptado o leído por terceros. M.- GARANTÍA DE INDEMNIDAD DEL “USUARIO AFILIADO”.- El “Usuario Afiliado” acuerda indemnizar y mantener a “ATIEMPO”, sus representantes, socios, accionistas, subsidiarias y afiliadas, sucesores, empleados y agentes, libres de cualquier consecuencia jurídica o económica proveniente de cualquier demanda, pérdida, responsabilidad, reclamación o gasto (incluidos honorarios de abogados), que tenga por objeto el uso ilegal o no autorizado de la “Plataforma Tecnológica ATIEMPO-EXTRANET” por parte del “Usuario Afliado”. N.- LEY APLICABLE Y RESOLUCIÓN DE CONFLICTOS.- El presente contrato, así como cualquier asunto relacionado con el mismo, será regido e interpretado de conformidad con las leyes del País donde haya sido adquirida la suscrición al “Servicio A-MEMBER”. Las partes reconocen que la pronta y equitativa resolución de cualquier disputa, reclamo o controversia que pueda producirse en relación con este contrato, redundará en interés de ambas. A este fin, las partes manifiestan su decisión de realizar todos los esfuerzos posibles para resolver, a través de la negociación y el mutuo acuerdo entre ellas, tales disputas, reclamos o controversias. Cualquier controversia, reclamo o diferencia en relación al presente contrato, será sometida a la jurisdicción de los tribunales competentes de la ciudad capital del País donde haya sido adquirida la suscripción al “Servicio A-MEMBER”.

B.- OBLIGACIÓN DEL “USUARIO AFILIADO” DE CARGAR SU INFORMACIÓN E HISTORIAL DE SALUD EN LA “PLATAFORMA TECNOLÓGICA A TIEMPO EXTRANET”.- El “Usuario Afiliado” estará obligado a cargar su información e historial de salud en los campos correspondientes exigidos por la “Plataforma Tecnológica ATIEMPO-EXTRANET”, inmediatamente después de haber activado su membresía. Para ello deberá incorporar toda la información que le sea requerida y hará sus mejores esfuerzos para que la información sea cargada de manera exacta e inequívoca, siendo responsable de la información que no haya sido cargada, o cuando se trate de información falsa, engañosa, incompleta o desactualizada. El “Usuario Afiliado” estará obligado a cargar en la “Plataforma Tecnológica ATIEMPO-EXTRANET” cualquier información médica adicional requerida por los profesionales de la salud afiliados al servicio. El “Usuario Afiliado” estará obligado a actualizar toda su información e historial de salud en los campos correspondientes exigidos por la “Plataforma Tecnológica ATIEMPO-EXTRANET”, de manera periódica, durante la vigencia del presente contrato. El “Usuario Afiliado” autoriza a los profesionales de la salud cargar en su fichero personal de la “Plataforma Tecnológica ATIEMPO-EXTRANET”, información referente a los resultados de las consultas en línea realizadas por este medio, a fin de mantenerlo actualizado. Los datos del “Usuario Afiliado” serán almacenados en servidores o medios magnéticos que mantienen altos estándares de seguridad y protección, tanto física como tecnológica, y serán tratados bajo estándares de protección y privacidad adecuados al Reglamento (UE) 2016/679 del Parlamento Europeo y del Consejo, de fecha 27 de abril de 2016, relativo a la protección de las personas físicas en lo que respecta al tratamiento de sus datos personales y a la libre circulación de estos datos, garantizando plenamente por esta vía el derecho a la privacidad del “Usuario Afiliado”, aplicándose las medidas de seguridad necesarias para evitar su alteración, pérdida, tratamiento o acceso no autorizado, observándose para ello las “Políticas de Privacidad ATIEMPO”, disponibles en www.corporacionatiempo.com/legal/privacidad. C.- DURATION, SUSPENSION AND TERMINATION OF THE SERVICE A-MEMBER.- The “A-MEMBER Service” will have a duration of one (01) year for the “Affiliated User” counted from the date of subscription and activation of the service. The "Affiliated User" may keep the subscription to the service active for equal and consecutive periods of one (01) year, unlimited in time as long as they acquire a new subscription code and activate it through the "ATIEMPO Technology Platform -EXTRANET”. The "A-MEMBER Service" will end when the corresponding natural period of annual duration ends, without the "Affiliated User" having reactivated the service for a new period, or, at any time by unilateral decision of either party, through the mechanisms established below. The "Affiliated User" may terminate the service and cancel their account at any time through a service termination request made through the "ATIEMPO-EXTRANET Technological Platform", which will be processed automatically. Those made through mechanisms other than the "ATIEMPO-EXTRANET Technological Platform" will not be considered as service termination requests. Once the "Affiliated User" has sent the request to terminate the service and cancel their account by the indicated means, the service will be suspended and the account will be blocked immediately, and the termination process will be irreversible. ATIEMPO may at any time and unilaterally suspend the service and/or terminate the contract of the “Affiliated User”, as well as prevent any future use or access to the “ATIEMPO-EXTRANET Technological Platform”. The unilateral termination of the "A-MEMBER Service" by the "Affiliated User" will not generate any reimbursement obligation by ATIEMPO to the "Affiliated User" with respect to the price paid for the subscription to the service. The unilateral termination of the "A-MEMBER Service" by ATIEMPO, will generate the obligation to reimburse the "Affiliated User" the prorated amount equivalent to the time that he could not use the service, excluding the time elapsed from the start date and /or activation of the subscription to the service, until the date of notification of the unilateral termination by ATIEMPO. The "Affiliated User" will not have the right to claim damages, lost profits, consequential damages, or any other concept due to the unilateral termination of the contract. E.- INDEPENDENCE OF CRITERIA OF THE “HEALTH PROFESSIONAL”.- “ATIEMPO” and/or “A-MEMBER Service” do not provide any health service. All "Affiliated Health Professionals" to the "A-MEMBER Service", are independent professionals who offer their services in the free exercise of their profession and use the "ATIEMPO-EXTRANET Technological Platform" as a means to communicate with the "Affiliated User". Therefore, the “A-MEMBER Service” consists solely and exclusively in making available to the “Affiliated User” the “ATIEMPO-EXTRANET Technological Platform” to facilitate the connection between the “Affiliated User” and the “Affiliate Professionals”. The "Affiliated User" irrevocably understands and accepts that in the event of an event of medical malpractice being denied, "ATIEMPO" is exempt from any liability, since it understands that the "A-MEMBER Service" is only a technological platform that facilitates communication between the “Affiliated User” and the “Affiliated Health Professional”. “ATIEMPO” does not assume any responsibility for the opinions and health advice that the “Affiliated Health Professionals” provide to the “Affiliated Users”, nor does it assume any responsibility with respect to the use that the “Affiliated User” makes of such advice or guidance given by the “Affiliated Health Professional.” F.- ON THE PRIVACY AND MANAGEMENT OF THE INFORMATION OF THE "AFFILIATED USER".- All information that relates the identity of the "Affiliated User" with their present, past or future physical and mental conditions and their health history, is considered confidential information. of a private and highly sensitive nature, therefore, it will be treated as such by "ATIEMPO" under protection and privacy standards appropriate to Regulation (EU) 2016/679 of the European Parliament and of the Council, dated April 27, 2016 , regarding the protection of natural persons with regard to the processing of their personal data and the free circulation of these data, fully guaranteeing in this way the right to privacy of the "Affiliated User", applying the necessary security measures to avoid its alteration, loss, treatment or unauthorized access, observing the "ATIEMPO Privacy Policies", available at www.corporacionatiempo.com/legal/privacidad. “ATIEMPO” guarantees the confidentiality of all the information that is disclosed between the health professional and the “Affiliated User” for the “A-MEMBER Service”. The "Affiliated User", through the "ATIEMPO-EXTRANET Technological Platform" will record and store their personal information, and "ATIEMPO" undertakes to use it solely and exclusively for purposes of the adequate provision of the "A-MEMBER Service ”, and also undertakes not to assign it, transfer it, sell it, license it or disclose it to third parties, except: (i) if the “Affiliated User” expressly authorizes it in writing; (ii) if it is necessary to allow our health service providers, associated entities or agents, to provide a better service to the “Affiliated User” on our behalf; (iii) solely for the purpose of providing the “Affiliated User” with our products or services or those of our associated entities; (iv) only to supply it to entities that perform marketing and promotional services for us or on our behalf, or to entities with which we have marketing alliances, (v) when necessary for the sale of all or a substantial majority of the assets of "ATIEMPO", or its merger or reorganization with another entity, (vi) when required or permitted by law. G.- INTELLECTUAL PROPERTY AND INTANGIBILITY OF THE CONTENT OF THE “ATIEMPO-EXTRANET TECHNOLOGICAL PLATFORM.- All information, text, graphics, user interface, visual interface, photographs, trademarks, logos, sounds, music, literary works and computer codes , design, structure, selection and arrangement of spaces, visual appearance or look & feel, as well as any arrangement or arrangement of the elements that make up the "ATIEMPO-EXTRANET Technological Platform", is the property of "ATIEMPO", and is duly protected by intellectual property laws, unfair competition, and applicable international treaties. The "Affiliated User" accepts and undertakes not to use robots, "spiders", other automated devices, or manual processes to control or copy any content of the "ATIEMPO-EXTRANET Technology Platform". Any interference, attempt or activity that violates or is contrary to the laws on intellectual property rights and/or the prohibitions stipulated in this contract will subject the person in charge to the pertinent legal actions, and to the sanctions provided for in this agreement, as well as making it responsible to compensate for the damage caused. “ATIEMPO” will not claim rights over the Intellectual Property of the content that is uploaded, stored or provided to the “ATIEMPO-EXTRANET Technological Platform”. It is clear that the service provided by the "ATIEMPO-EXTRANET Technological Platform", as well as the programs, databases, networks, files that allow the "Affiliated User" to access and use the "A-MEMBER Service", are property of "ATIEMPO" and are protected by international laws and treaties on Intellectual Property. The improper use and total or partial reproduction of said contents are prohibited, unless expressly authorized in writing by “ATIEMPO”. H.- END USER LICENSE AGREEMENT FOR THE “ATIEMPO-EXTRANET SOFTWARE” AND FOR THE “A-MEMBER App” APPLICATION.- “ATIEMPO” is the owner of the “Atiempo-Extranet Software” and the application for mobile devices “A-MEMBERApp” (hereinafter “ATIEMPO Software”), which will be licensed and not sold in this act to “ Affiliate User”. “ATIEMPO” hereby grants the “Affiliated User” a non-exclusive, personal and non-transferable license to access and use the “ATIEMPO Software” exclusively within the context of the “A-MEMBER Service”. This license is granted for consideration and its price is included in the amount paid by the "Affiliated User" for the subscription to the "A-MEMBER Service". This license will enter into force and will have a duration equal to that of this adhesion contract. The "Affiliated User" may not rent, lease, lend, sell, redistribute or sublicense the "ATIEMPO Software". The “Affiliated User” may access and/or download the “ATIEMPO Software” from any device that the “Affiliated User” uses or controls. “ATIEMPO” retains ownership of the “ATIEMPO Software” and reserves all rights not expressly granted to the “Affiliated User” in this act. “ATIEMPO” may, at its sole discretion, make available to the “Affiliated User” new versions or updates of the “ATIEMPO Software”, to which this same license will be extended. The "Affiliated User" accepts that "ATIEMPO" may collect and use information and technical data from their devices in order to facilitate the activities of maintenance, updating and improvement of "ATIEMPO Software", support and services. The "Affiliated User" acknowledges and accepts that the use of the "ATIEMPO Software" will be at their own risk, and without guarantees of any kind. .- OBLIGATIONS OF NOT DOING THE "AFFILIATED USER".- The "Affiliated User" may not: (1) Use devices or devices, programs, algorithms or methodologies, or any other process to access, acquire, copy or monitor, reproduce or modify the navigation structure or presentation of the "ATIEMPO-EXTRANET Technology Platform", with the purpose to obtain or attempt to obtain information through means that have not been made available or authorized by “ATIEMPO”; (2) Access or attempt to access the “ATIEMPO-EXTRANET Technological Platform”, through illegal means or those not authorized by “ATIEMPO”, such as “hacking”, password “mining”, etc; (3) Test the vulnerability of the “ATIEMPO-EXTRANET Technological Platform” or of any equipment or server connected to the “A-MEMBER Service”; (4) Use or monitor information from the “ATIEMPO-EXTRANET Technology Platform” or from any other “Affiliated User” to the “A-MEMBER Service”, “ATIEMPO” account or client, other than their own information; (5) Interfere or attempt to interfere with the normal functioning of the "ATIEMPO-EXTRANET Technological Platform" and may not use devices or devices, programs, algorithms or methodologies, routines or any other process for these same purposes; (6) Manipulate or falsify your identity to deceive the "ATIEMPO-EXTRANET Technological Platform" or "ATIEMPO" with respect to the true origin of the messages or communications that are sent through it, or to contract the services that are offered through the “A-MEMBER Service”. (8) Alter or circumvent any security technology included in the “A-MEMBER Technology Platform” for the “A-MEMBER Service”. (9) Use the "ATIEMPO-EXTRANET Technological Platform" for any illegal purpose, unauthorized or prohibited by these terms and conditions, which may affect the rights and interests of "ATIEMPO", its clients or third parties. J.- FAILURES OF THE SYSTEM.- “ATIEMPO” is not responsible for any damage, harm or loss caused to the “Affiliated User” due to failures in the system(s) of the “ATIEMPO-EXTRANET Technological Platform”. “ATIEMPO” will not be responsible for any virus that could infect the equipment of the “Affiliated User” as a consequence of the access, use or examination of the “ATIEMPO-EXTRANET Technological Platform”. The "Affiliated Users" may NOT impute to "ATIEMPO" any responsibility or demand payment of any compensation, by virtue of damages resulting from technical difficulties or failures of the "ATIEMPO-EXTRANET Technological Platform". “ATIEMPO” does not guarantee continuous or uninterrupted access and use of the “ATIEMPO-EXTRANET Technology Platform”. The system may eventually be unavailable due to technical difficulties or Internet failures, or due to any other circumstance unrelated to “ATIEMPO”; in such cases “ATIEMPO” will try to restore it as quickly as possible without being imputed any type of responsibility. K.- MODIFICATION OF THIS AGREEMENT OF ADHESION.- The terms and conditions established in this adhesion contract may be changed, modified, expanded or reduced at any time and unilaterally by "ATIEMPO". M.- INDEMNITY GUARANTEE OF THE "AFFILIATED USER".- The "Affiliated User" agrees to indemnify and hold "ATIEMPO", its representatives, partners, shareholders, subsidiaries and affiliates, successors, employees and agents, free from any legal or economic consequence arising from any lawsuit, loss, liability, claim or expense (including attorneys' fees), which has as its object the illegal or unauthorized use of the "ATIEMPO-EXTRANET Technological Platform" by the "Affiliated User". N.- APPLICABLE LAW AND CONFLICT RESOLUTION.- This contract, as well as any matter related to it, will be governed and interpreted in accordance with the laws of the Country where the subscription to the “A-MEMBER Service” has been acquired. The parties acknowledge that the prompt and equitable resolution of any dispute, claim or controversy that may arise in relation to this contract will be in the interest of both. To this end, the parties express their decision to make all possible efforts to resolve, through negotiation and mutual agreement between them, such disputes, claims or controversies. Any controversy, claim or difference in relation to this contract, will be submitted to the jurisdiction of the competent courts of the capital city of the Country where the subscription to the "A-MEMBER Service" has been acquired.
